Governance Promotion System

Effective from FY2026, the Group introduced a CXO*-based structure. Under this structure, management priorities are identified by taking into account both financial and non-financial opportunities and risks, and a designated CXO is appointed to each management priority. Each CXO serves as the executive responsible for addressing the issue from a management perspective and holds end-to-end responsibility with the authority to formulate, execute, monitor, and adjust strategies to meet established performance indicators. In addition, the Group has established a CXO Meeting to promote cross-functional initiatives on management priorities spanning both financial and non-financial areas, while speeding up and enhancing decision-making by the Management Committee.

For matters related to sustainability and risk management, including compliance and risks, the Group has established the Sustainability Committee and the Risk Management Committee to consolidate discussions within the Group and further enhance the quality and speed of execution.

* CXO (Chief X Officer): An executive structure under which each CXO is responsible for a specific function and management priorities

Sustainability Committee (Chair: President, Vice Chair: CSO)

The Sustainability Committee assumes the function of monitoring the progress of performance indicators for the management priorities. The Committee reports matters deliberated or confirmed to the Management Committee, and if necessary, raises issues at the CXO Meeting. The Management Committee then holds necessary discussions and makes decisions, submits proposals and reports to the Board of Directors, and is subject to the Board’s oversight with respect to the matters submitted or reported (in principle, held twice a year).

Risk Management Committee (Chair: President, Vice Chair: CGO)

The Risk Management Committee takes a comprehensive view of risks through risk evaluations based on the assessment results and identifies risks closely tied to management priorities as significant risks that require a Group-wide response, addressing these risks in cooperation with the Sustainability Committee. To fulfill our corporate social responsibility (CSR) and reinforce relationships of trust with stakeholders, we have also established individual committees to closely monitor and manage risks associated with relevant management priorities . The Risk Management Committee deliberates on issues related to risk management, internal controls, and compliance across the Group, while also overseeing and driving responses to these issues. The Committee reports its activities to the Management Committee and the Board of Directors on a regular basis, and receives oversight from the Board(in principle, held twice a year).
